	Terms And Conditions
	Participants in HolySeek's "Make An Impression" banner exchange program (the "Exchange") must first agree to the terms and conditions set forth in this Agreement. As used in this Agreement, the terms "We" and "Us" refer to HolySeek; "Member", "You" and "Your" refer to the participant in the Exchange. Anyone determined by HolySeek administrators to have violated these terms and conditions is subject to being banned from this Exchange without any obligation by HolySeek to redeem any credits. Members agree to include the full unmodified HTML code provided by HolySeek for displaying banners on their web site, in as many or few pages as they wish. Members are only allowed to place one banner on each page of their website. This does not include banners sourced from other sites or a member's own site, however, excessive banners will result in a warning or the closure of your account. All Exchange banners must be placed on a page on your website such that the majority of people visiting that page will see and notice the banner. Members acknowledge that this Exchange is a free service. At any given time, the banner on a member's web site may contain an announcement or advertisement from a sponsor, from another member, or from us. We will under no circumstances approve applications from sites that incorporate content that is in any way unlawful, harmful, threatening, defamatory, obscene, harassing or racially, ethically or otherwise inappropriate. Nor will we approve members that facilitate or promote illegal activity, depict sexually explicit images, promote violence, promote discrimination based on race, sex, religion, nationality, disability, or age, or incorporate any material that infringes or assists others in their efforts to infringe on any copyright, trademark or other intellectual property rights. If your request to participate in the "Make An Impression" program is rejected you may not participate in the Exchange. If accepted, you will be responsible for all of your own expenses incurred in connection with your participation in the Exchange (i.e., site hosting or bandwidth fees.) In addition, we may reject your membership after acceptance, or rescind our acceptance of your membership at any time in the event of changed conditions or for any other reason. Determination that a site's content is "inappropriate" is at our sole and final discretion. Members acknowledge and agree their web site information (name, URL, traffic counts) may be utilized by HolySeek. Possible uses include (but are not limited to) lists of the busiest sites, lists of member sites, etc. A member may cancel his or her participation in the banner exchange by removing the banner exchange code from their web site, and/or by notifying us by email to info@holyseek.org. Any correspondence sent to HolySeek regarding this Exchange should include the members username and participating website URL. A member may not artificially inflate traffic counts to his or her site using a device, program, or other means. A member may not display more than one banner exchange banner of any page. A member may NOT include the banner on any page that automatically reloads, redirects to another page without interaction from the user, or on a page inaccessible to the general surfing population. Anyone found violating these terms will be IMMEDIATELY banned from this Exchange without any obligation by HolySeek to redeem any credits whether earned or purchased. All members agree to utilize the services provided by HolySeek at their own risk. The banner images and links we provide link to websites operated by other organizations. Such links do not imply or convey endorsement of said organizations (or individuals) by HolySeek. Further, these organizations and individuals are not covered under this agreement and are solely responsible for the content, security, terms of use, and privacy issues of their web sites. HolySeek absolves itself from responsibility for any repercussions experienced on other linked web sites. HolySeek its administrators, board members, officers, directors, employees, agents, affiliates, successors and assigns cannot be held liable for any damage or loss of information that may occur from the use of the services of this Exchange. Although we will make a reasonable effort to provide a high standard of quality for our services, we make no guarantees of any kind regarding the dependability, accuracy, or timeliness of the services. You hereby represent and warrant to us and our members that you are either the owner, permitted licensee, or are otherwise expressly authorized to use, in accordance with the terms and conditions hereof, all of the member property and any other proprietary rights which you propose to associate with the Exchange pursuant hereto. You hereby agree to indemnify, defend and hold harmless us and our board members, officers, directors, employees, agents, affiliates, successors and assigns, from and against any and all claims, losses, liabilities, damages or expenses (including attorneys' fees and costs) of any nature whatsoever incurred or suffered by us which arise from or relate in any way to the content of your site, the conduct of your business, or the goods and/or services you offer as a Member. We will not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data, arising in connection with this Agreement or the Exchange, even if we have been advised of the possibility of such damages. HolySeek reserves the right to modify these Terms and Conditions. Members agree to remain in compliance with these Terms and Conditions as they may be modified and amended from time to time.
